# RGL8R Pricing & Savings Policy v1 **Effective Date:** January 27, 2026 **Applies To:** All customer agreements **Owner:** Daniel Johnson --- ## 1. Pricing Models RGL8R offers two distinct pricing models based on the value delivered: | Model | When Used | Trigger | Risk Profile | |-------|-----------|---------|--------------| | **Gain Share** | Provable, realized savings | Credit/refund received | Customer: Zero risk. RGL8R: Performance risk. | | **Platform Fee** | Risk avoidance, compliance | Go-live date | Customer: Fixed cost. RGL8R: Delivery risk. | **Rule:** Never mix gain share and platform fee for the same value stream. If savings are measurable, use gain share. If value is risk avoidance, use platform fee. --- ## 2. SHIP Module (Parcel Audit) ### 2.1 Pricing Structure | Component | Fee | Trigger | |-----------|-----|---------| | Carrier credit recovery | 15% of realized credit | Credit appears on carrier invoice or refund issued | | Avoided overcharge (preventable) | 0% | Not charged—baseline improvement is free | | Dispute filing | $0 | Included | | Appeal/escalation | $0 | Included | ### 2.2 What Counts as "Realized Credit" **Included:** - Carrier-issued refunds for overcharges - Carrier-issued credits applied to future invoices - Duplicate charge reversals - Service failure refunds (late delivery guarantees) - Accessorial charge reversals **Excluded:** - Rate reductions negotiated for future shipments (not retroactive) - Avoided charges (we helped you not get overcharged—no fee) - Credits for issues identified before RGL8R engagement - Credits disputed but not approved by carrier ### 2.3 Realization Timing ``` Invoice received → Exception flagged → Dispute approved → Dispute filed ↓ Carrier reviews (10-30 business days) ↓ Credit issued → RGL8R fee triggered ↓ RGL8R invoices customer (Net 30) ``` **Lag:** Expect 30-60 days between dispute filed and credit received. No savings = no fee. - **Maximum fee:** None. Uncapped. - **Pilot period:** First 90 days, standard 15% applies. No discounts. --- ## 3. TRADE Module (Compliance Screening) ### 3.1 Pricing Structure | Component | Fee | Trigger | |-----------|-----|---------| | Platform access | $500/month | Monthly, starting at go-live | | SKU classifications | Included up to 1,000/month | — | | Overage classifications | $0.50/SKU | SKUs 1,001+ in a month | | HS code research (manual) | $25/SKU | Complex items requiring specialist review | ### 3.2 What's Included in Platform Fee - Unlimited screenings of classified SKUs - AT_RISK / NEEDS_REVIEW / CLEARED flagging - CBSA measure matching (Canada) - SIMA/AD/CVD screening (US imports) - Compliance evidence trail (audit defense) - Monthly compliance summary report - API access (if integrated) ### 3.3 What's NOT Included - Customs brokerage services - Duty payment or remittance - Legal advice or representation - Carrier negotiations - Insurance or liability coverage ### 3.4 Why Platform Fee (Not Gain Share)? Liability & Remediation ### 5.1 What RGL8R Is Liable For - Errors in our analysis that cause customer to miss valid disputes - Misclassification that directly causes customs penalty (TRADE only) - Data breach or security incident caused by RGL8R negligence ### 5.2 What RGL8R Is NOT Liable For - Carrier rejecting valid disputes (we'll appeal, but can't guarantee) - Customer providing incorrect data (garbage in, garbage out) - Customs decisions based on factors outside our data (inspector discretion) - Changes in regulations after classification provided ### 5.3 Remediation Policy | Issue | Remediation | |-------|-------------| | Missed valid dispute (our error) | File dispute, waive fee on that recovery | | Misclassification causes penalty | Refund platform fees for period of error (max 3 months) | | Data breach | Follow incident response policy, notify within 72 hours | **Cap:** Total liability limited to fees paid in trailing 12 months. --- ## 6. Contract Terms ### 6.1 Pilot Period - **Duration:** 90 days - **Commitment:** None. Cancel anytime with 7 days notice. - **Pricing:** Standard rates (no pilot discount) - **Conversion:** Auto-converts to annual agreement unless cancelled ### 6.2 Annual Agreement - **Duration:** 12 months - **Commitment:** Platform fee committed; gain share variable - **Cancellation:** 30 days notice, effective at period end - **Renewal:** Auto-renews unless cancelled 30 days prior ### 6.3 Payment Terms - Net 30 from invoice date - Late payment: 1.5%/month interest after 30 days - Accepted: ACH, wire, credit card (+3% processing fee) --- ## 7. Frequently Asked Questions ### Q: What if we recover more than expected? **A:** Great! You keep 85%, we get 15%. No cap. ### Q: What if we recover nothing? **A:** You pay nothing for SHIP. TRADE platform fee still applies (it's for compliance, not savings). ### Q: Can we negotiate the 15%? **A:** For pilots, no. For annual agreements with >$50K projected savings, we'll discuss. ### Q: What if the carrier changes their billing practices? **A:** If systematic overcharges stop, your SHIP fees go down. That's a win for you. ### Q: Do you guarantee savings? **A:** No. We guarantee effort and methodology. Savings depend on carrier behavior and your data quality. ### Q: Can we audit your calculations? **A:** Yes. We provide full transparency on every disputed amount and credit received. --- ## 8.
